Scottish Re Group Limited is a holding company with its principal executive office in Bermuda. Through our operating subsidiaries, we are engaged in the reinsurance of life insurance, annuities and annuity-type products. We have operating companies in Bermuda, Ireland, and the United States. Our primary subsidiaries are Scottish Annuity & Life Insurance Company (Cayman) Ltd., Scottish Re (Dublin) Limited and Scottish Re (U.S.), Inc. Effective August 24, 2011, we completed a merger pursuant to the laws of the Cayman Islands with a newly formed subsidiary of affiliates of Cerberus Capital Management, L.P. and MassMutual Capital Partners LLC (together, the “Investors”), in which Scottish Re Group Limited was the surviving entity. On the effective date of the merger, all of our then outstanding ordinary shares were cancelled and new ordinary shares were issued to the Investors. Our convertible cumulative participating preferred shares owned by the Investors and our non-cumulative perpetual preferred shares were unaffected by the merger. Following completion of the merger, the Investors own and control 100% of our voting shares.
