Cipolla was counsel at Merck & Co., Inc. for over 20 years. He worked on an array of important company matters including mergers, joint ventures, complex commercial and antitrust litigation, contracts, distribution, generics, document control, general commercial and antitrust counseling, product liability defense, government investigations, pricing practices, privacy, and marketing practices.
He was a litigation associate at Pepper Hamilton in Philadelphia where he handled complex litigation matters such as antitrust, civil rights, trade secrets, insurance regulation, among other areas. He provided many of the firm’s clients with antitrust advice.
Mr. Cipolla regularly speaks publicly on legal issues. In 2013, he spoke on pricing issues for the American Conference Institute's (ACI) program on Pharmaceutical Pricing in February, and was a panelist for the ABA's antitrust update. He was co-chair of the ACI's Annual Pharmaceutical Antitrust Conference in 2011, and is a member of the Institute's Antitrust Advisory Board. An active American Bar Association member, he participates in the Antitrust Section among others. He contributed editorial and drafting support to numerous legal publications, including the ABA’s Pharmaceutical Antitrust Handbook (2009) and its Price Discrimination Handbook (2013).
Mr. Cipolla is a magna cum laude graduate of Dickinson School of Law, and was graduated fifth in his class. He was an Editor of the Law Review (1983-1985) and is a member of the Woolsack Honor Society.

Advised senior management regarding antitrust risks of horizontal and vertical joint ventures and acquisitions, including 1993 $6.6 billion acquisition of Medco Health, Inc.
